BMC Software Finance announces intention to privately offer USD 1,380 million in senior notes

BMC Software Inc. announced the offer of a private placement of USD 1,380 million in senior notes from BMC Software Finance Inc., its subsidiary. The dollar-denominated and euro-denominated notes are due 2021. Proceeds of the sale will be used to help partially finance the proposed purchase of BMC by Boxer Parent Company. Bain Capital Partners, Golden Gate Private Equity, GIC Special Investments Pte Ltd, Insight Venture Management and Elliott Associates are BMC Software Finance's venture backers.

BMC Software Finances intends to offer the notes to Institutional buyers and non-US persons living outside the US for as long as they are qualified under certain rules in the Securities Act. Gross proceeds of the private offering will be placed in "a segregated escrow account until the date that certain conditions, including the completion of the Acquisition, have been satisfied," the company said in a press release. Once the buy has been completed, the notes will be guaranteed by some of BMC Software's subsidiaries.
